1. Acceptance of These Terms
By creating an account or using Phoryn, SongG.E.L., Sonintelligence, or related services, you agree to these Terms & Use and our Privacy Policy. If you do not agree, you may not create an account or use the services.
2. Artist Submissions and Ownership
Artists retain ownership of music, recordings, lyrics, and other original content they submit. Submitting content to SongG.E.L. does not transfer ownership of that content to Phoryn.
You represent that you own the submitted recording or have the necessary rights, permissions, or authorization to submit and use it through the services.
3. Limited License to Phoryn
By submitting content, you grant Phoryn a limited, non-exclusive license to use, store, process, analyze, display, and otherwise handle that content only as reasonably necessary to operate and provide the services.
This may include analyzing submitted music, storing the submission, displaying it according to your selected visibility, facilitating listening and discovery, and supporting communication between artists and authorized professionals.
4. Public and Private Songs
Artists may have the ability to select whether an eligible song is private or requested for public discovery.
Choosing Public means the artist is requesting public discovery. A song must first satisfy Sonintelligence's eligibility requirements before it is made publicly discoverable.
5. Library Eligibility and Content Standards
Not every submitted song is intended to appear in the public Sonintelligence library.
Public-library eligibility may be determined through a combination of automated screening, AI-assisted evaluation, artist visibility settings, and platform-level eligibility standards.
Content may be restricted or withheld from public discovery when it contains unsuitable material, including potentially unauthorized content, hateful or racist epithets, or submissions containing insufficient lyrical or creative content.
Commercial potential is not the sole criterion for public library eligibility. A song may provide value to an artist through private AI A&R evaluation even if it does not qualify for public discovery.
6. AI A&R Analysis and Limitations
SongG.E.L. may use artificial intelligence and automated systems to evaluate submitted music and generate song intelligence.
Evaluations may consider characteristics including hook, vocals, lyrics, production, originality, genre, emotional impact, marketability, replay value, and other characteristics relevant to potential commercial performance.
AI A&R analysis is informational and evaluative. It does not guarantee commercial success, audience growth, record deals, placements, licensing opportunities, income, or any other particular result.
Artists may receive access to the AI A&R evaluation, including positive findings, weaknesses, criticism, and areas that may affect commercial potential.
7. Professional / Pro Use
Professional users may use Sonintelligence to discover, filter, listen to, save, pass on, and evaluate eligible songs according to the functionality made available to them.
Professional-facing song discovery may include selected AI-derived song indicators and other song information. Selected indicators are intended to support discovery and do not constitute a definitive overall AI recommendation or guarantee of commercial potential.
8. Save, Pass, and Contact Artist
Professional users may have access to private Save and Pass functionality. These signals are intended to help professionals organize their own discovery activity and are not public popularity ratings.
Where available, professionals may contact artists through the services. Users agree not to use communication features for spam, harassment, fraud, or other abusive or unlawful purposes.
9. User Accounts and Responsibilities
You are responsible for providing accurate account information, maintaining the security of your account credentials, and complying with these Terms.
You may not use the services to impersonate another person, submit content you are not authorized to use, interfere with the services, circumvent access controls, or engage in unlawful, fraudulent, abusive, or harmful activity.
10. Intellectual Property of Phoryn
Phoryn and its licensors retain all rights in the Phoryn, SongG.E.L., and Sonintelligence brands, software, interfaces, AI systems, workflows, proprietary methodologies, song-intelligence structures, discovery systems, matching systems, prompts, rules, processes, and other proprietary materials.
Except for rights expressly granted under these Terms, no ownership rights are transferred to you.
11. Copyright Complaints and Content Removal
Phoryn may restrict, suspend, or remove content when it receives a credible copyright complaint or otherwise has reason to believe that content may be unauthorized.
Artists may be asked to provide evidence of ownership, authorization, or licensing rights.
Phoryn may use automated or third-party content-identification tools to help identify potentially unauthorized content.
12. Privacy and Data Processing
Use of personal information and submitted content is also governed by our Privacy Policy.
Submitted music may be processed by automated systems and third-party service providers as reasonably necessary to provide, operate, secure, and improve the services.
Any use of submitted music beyond operating the services will be addressed according to applicable disclosures, agreements, and policies.
13. Payments, Subscriptions, and Credits
Certain features may require payment, a subscription, credits, or another paid access model.
Pricing, billing terms, renewal terms, credits, refunds, and cancellation policies may be presented separately at the time of purchase and are subject to the applicable terms presented at that time.
14. Suspension and Termination
Phoryn may suspend or terminate accounts or restrict access to the services when reasonably necessary to protect the platform, users, intellectual property, or legal rights, or when a user violates these Terms.
Termination does not transfer ownership of an artist's music to Phoryn.
15. Disclaimers
The services are provided for informational, analytical, discovery, and connection purposes. AI-generated evaluations may contain errors, omissions, or inaccurate conclusions.
Phoryn does not guarantee that any song will receive attention, discovery, professional interest, commercial success, licensing, placement, revenue, or other opportunity.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Phoryn and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to use of the services.
Specific limitations, exclusions, and applicable exceptions should be reviewed and finalized by qualified legal counsel.
17. Third-Party Services
The services may rely on third-party providers for hosting, storage, authentication, payments, artificial intelligence, content processing, communications, analytics, or other functionality.
Third-party services may be governed by their own terms and policies.
18. Changes to the Services and Terms
Phoryn may modify, add, remove, suspend, or discontinue features of the services from time to time.
Phoryn may also update these Terms. Material changes may be communicated through the services or other reasonable means.
19. Governing Law and Disputes
Governing law, jurisdiction, venue, arbitration provisions, and dispute-resolution procedures will be finalized and stated in the final version of these Terms.
20. General Provisions
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
These Terms, together with applicable policies and agreements referenced within them, constitute the agreement governing use of the services, subject to final legal review.
